Welcome to idiibi

These Terms and Conditions ("Terms") govern your use of our cloud services (the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of our Services.

1. Definitions

  • Customer: The individual or entity using the Services.
  • Services: The cloud services provided by idiibi.
  • Account: The Customer's account created to access and use the Services.
  • Content: All data, applications, software, and other materials stored, uploaded, or transmitted by the Customer using the Services.

2. Account Registration

  • Customers must register an Account to use the Services.
  • Customers agree to provide accurate and complete information during registration.
  • Customers are responsible for maintaining the confidentiality of their Account credentials.
  • Customers agree to notify us immediately of any unauthorized use of their Account.

3. Use of Services

The Services are provided on a pay-as-you-go basis, calculated based on actual usage. Customers agree to use the Services in compliance with all applicable laws and regulations.

  • Engaging in illegal activities or promoting illegal content.
  • Uploading or transmitting malicious code or viruses.
  • Attempting to gain unauthorized access to any other account or system.

4. Billing and Payment

  • Customers will be billed based on their actual usage of the Services.
  • Payment is due according to the billing cycle specified during registration.
  • idiibi reserves the right to suspend or terminate Services in the event of non-payment or late payment.
  • All fees are non-refundable, except as provided in these Terms or as required by law.

5. Service Availability and Performance

idiibi will use commercially reasonable efforts to ensure that the Services are available 24/7, excluding scheduled maintenance and unforeseen outages. idiibi does not guarantee that the Services will be error-free or uninterrupted.

6. Customer Data

  • Customers retain all rights to their Content.
  • idiibi will not access, use, or disclose Customer Content except as necessary to provide the Services or as required by law.
  • Customers are responsible for ensuring the security and confidentiality of their Content, including implementing appropriate measures for data backup and protection.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed in connection with the Services. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

8. Intellectual Property

  • All intellectual property rights in the Services, including but not limited to software, documentation, and trademarks, are owned by idiibi or its licensors.
  • Customers may not copy, modify, distribute, or create derivative works based on the Services without prior written consent from idiibi.

9. Limitation of Liability

To the maximum extent permitted by law, idiibi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Services, including but not limited to loss of profits, data, or business opportunities. idiibi's total liability under these Terms shall not exceed the amount paid by the Customer for the Services in the three (3) months preceding the claim.

10. Indemnification

Customers agree to indemnify, defend, and hold harmless idiibi, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising from or related to the Customer's use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

  • idiibi reserves the right to terminate or suspend the Services or the Customer's Account at any time, with or without cause, with or without notice.
  • Upon termination, Customers must cease all use of the Services and delete any copies of related software or materials.
  • Customers may terminate their Account at any time by providing written notice to idiibi.

12. Amendments

idiibi reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting the updated Terms on our website or otherwise notifying the Customer. Continued use of the Services after any such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Egyptian Corporate & Commercial Law, without regard to its conflict of law principles.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Rasheed Court, except where prohibited by law. Customers and idiibi waive any right to a jury trial or to participate in a class action.

15. Miscellaneous

  • These Terms constitute the entire agreement between the parties concerning the subject matter hereof and supersede all prior or contemporaneous agreements, representations, or understandings.
  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  • The failure of either party to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
